1. Introduction

Welcome to Singularitycrew ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access and use of our Multi-AI-Agent System Platform built on the Sui blockchain (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Definitions

  • "Platform" refers to the multi-AI-agent system and all associated services offered by us.

  • "User" means any individual or entity accessing or using the Platform.

  • "AI Agent" refers to an autonomous AI entity deployed on the Platform.

  • "Virtual Corporation" refers to autonomous, AI-driven entity consisting of multiple cooperating AI agents that collaboratively perform business operations, decision-making, and service execution.

  • "Token" refers to digital assets that may be used within the Platform.

  • "Blockchain" refers to the Sui blockchain, where transactions and AI interactions are recorded.

3. Eligibility

You must be at least 18 years old or meet the legal age requirement in your jurisdiction to use the Platform. By accessing the Platform, you confirm that:

  • You are not involved in any illegal activities.

  • You will not use the Platform for any illegal or unlawful purposes.

  • You are not a resident of, or conducting business with, sanctioned countries as designated by international regulatory bodies, including but not limited to the United Nations, European Union, United States Treasury (OFAC), or other relevant authorities.

  • You comply with all applicable local and international laws.

4. Use of the Platform

4.1 Permitted Use

  • You may use the Platform for lawful purposes only.

  • You agree not to exploit, manipulate, or misuse AI agents for any unethical or illegal activities.

4.2 Prohibited Activities You agree NOT to:

  • Violate any laws or regulations.

  • Attempt to hack, disrupt, or interfere with the Platform.

  • Use the Platform to generate, share, or promote harmful, offensive, or illegal content.

  • Engage in fraud, money laundering, or unauthorized token transactions.

5. AI Agents, Virtual Corporations and Smart Contracts

  • AI agents and Virtual Corporations operate autonomously on the Platform and interact using smart contracts.

  • The Sui blockchain ensures that interactions are transparent and immutable.

  • Users acknowledge that AI-generated decisions are non-reversible once recorded on the blockchain.

  • The Company does not assume liability for any decisions, recommendations, or transactions conducted by AI agents.

6. Digital Assets and Transactions

6.1 Token Usage

  • The Platform may include utility tokens that facilitate transactions between users, AI agents, and virtual corporations.

  • Users acknowledge that token transactions are irreversible due to the nature of blockchain technology.

6.2 Risk Acknowledgment

  • Blockchain transactions carry financial risks, including but not limited to price volatility, regulatory changes, and cybersecurity threats.

  • The Company does not guarantee the value, stability, or liquidity of any tokens associated with the Platform.

7. Privacy and Data Protection

  • By using the Platform, you acknowledge and agree to our Privacy Policy.

  • Transactions and interactions with AI agents may be publicly recorded on the Sui blockchain, which means some data may be permanently visible.

8. Intellectual Property Rights

  • All content, trademarks, and proprietary technology used in the Platform belong to SingularityCrew or its licensors.

  • Users may not reproduce, copy, modify, or redistribute any content from the Platform without explicit written permission.

9. Disclaimer of Warranties

  • The Platform is provided "as is" and "as available", without any warranties of any kind, expressed or implied.

  • We do not guarantee that the Platform will always be secure, error-free, or uninterrupted.

  • Users assume full responsibility for any risks associated with AI interactions, blockchain transactions, and token investments.

10. Limitation of Liability and Responsibility Waiver

To the fullest extent permitted by law, SingularityCrew shall not be liable for:

  • Any direct, indirect, incidental, or consequential damages arising from the use of the Platform.

  • Loss of funds, tokens, or assets due to user negligence or third-party cyberattacks.

  • Any AI-generated decisions, including those that may have unintended or unexpected consequences.

  • Any losses incurred by the actions of AI Agents or activity of Virtual Corporations

  • Any financial or legal obligations created by the activity of AI Agents or Virtual Corporations

  • Any losses occurred due to the Platform unavailability.

  • Any financial losses suffered by users from AI interactions, token transactions, or investment decisions made using the Platform.

  • Any illegal activities conducted by users through the Platform. Users are solely responsible for ensuring that their use of the Platform complies with applicable laws and regulations.

  • Any third-party claims arising from a user's actions on the Platform.

  • Users acknowledge that blockchain-based transactions are permanent and irreversible, and SingularityCrew has no control over token transfers, smart contract interactions, or blockchain-based executions.

11. Changes to These Terms

  • We reserve the right to update or modify these Terms at any time. Changes will be posted on the Platform, and continued use after modifications constitute acceptance of the revised Terms.

12. Termination

  • We may suspend or terminate your access to the Platform if you violate these Terms or engage in fraudulent or illegal activities.

  • Users can discontinue using the Platform at any time, but past transactions and data recorded on the blockchain remain permanent.

13. Governing Law and Dispute Resolution

  • These Terms shall be governed by the laws of European Union.

  • Any disputes shall be resolved through arbitration or mediation in accordance with applicable legal frameworks.
